Key Terms You Should Know

  • SUBSCRIPTIONS AUTO-RENEW: Subscriptions automatically renew unless you cancel at least 72 hours before your next billing date.

  • AUTOMATIC RENEWAL DISCLOSURE: By purchasing a subscription, you authorize recurring charges and shipments until you cancel.

  • ARBITRATION & CLASS ACTION WAIVER: Most disputes must be resolved through individual arbitration (Section 15). You may opt out within 30 days of your first purchase.

  • PERSONAL USE ONLY: Products are for personal use only. Commercial resale is prohibited.

  • HEALTH DISCLAIMER: Our products are dietary supplements, not medications. Consult your healthcare provider before use.

 

 

1. Agreement & Eligibility

Welcome to Phoenix Goods Co. (“Phoenix,” “we,” “us,” or “our”), a Wyoming company located at 30 N Gould St, Sheridan, WY 82801.

By accessing phoenixgoods.com (the “Site”), creating an account, or purchasing any product or service, you agree to be bound by these Terms & Conditions (“Terms”).

You must be at least 18 years old to use the Site or make purchases.

Changes to These Terms

We may update these Terms from time to time. Material changes (including changes to arbitration, subscriptions, pricing, or liability) will be posted on the Site and may require notice or consent where required by law. Continued use of the Site after changes take effect constitutes acceptance.

 

 

2. Your Account

You may be required to create an account to purchase products.

You agree to:

  • Provide accurate and current information

  • Maintain the security of your login credentials

  • Notify us immediately of unauthorized access

You are responsible for all activity under your account. We may suspend or terminate accounts for violations of these Terms, fraud, abuse of policies, or security risks.

 

 

3. Products, Orders & Pricing

What We Offer

Dietary supplements (including Phoenix Recharge), subscriptions, digital products (eBooks and guides), and promotional items.

Personal Use Only

All products are for personal, non-commercial use only. You may not resell, redistribute, or list Phoenix products on marketplaces (including Amazon or eBay) without express written permission. Violations may result in account termination and legal action.

Orders

Placing an order constitutes an offer to purchase.
Your order is not confirmed until you receive our confirmation email.

We reserve the right to refuse or cancel orders, limit quantities, or correct errors.

Pricing & Payment

Prices are listed in USD and may change without notice. Payments are processed through third-party processors (including Shopify Payments). By purchasing, you authorize charges to your payment method, including temporary verification charges where applicable.

 

 

4. Subscriptions

Automatic Renewal — IMPORTANT NOTICE

BY PURCHASING A SUBSCRIPTION, YOU AGREE THAT:

  • Your subscription will automatically renew each billing cycle

  • Your payment method will be charged automatically

  • You will receive recurring shipments until you cancel

  • You are responsible for all charges until proper cancellation

Cancellation

You may cancel at any time through your account or by emailing support@phoenixgoods.com.

To avoid being charged for your next renewal, you must cancel at least 72 hours before your next billing date. Late cancellations apply to the following billing cycle.

No “Forgot to Cancel” Refunds

We do not issue refunds for subscription charges due to failure to cancel on time. You are responsible for managing your subscription.

Price Changes

Subscription prices may change with 30 days’ advance notice. You may cancel before a new price takes effect.

 

 

5. Shipping & Delivery

We ship within the United States, to Canada, and to select international destinations.

Shipping times are estimates only and not guaranteed. Risk of loss passes to you once the package is delivered to the carrier.

International Orders

For shipments outside the U.S.:

  • You are responsible for all customs duties, taxes, and import fees

  • We are not responsible for customs delays or seizures

  • All international sales are final once shipped, except where required by applicable law

 

 

6. Returns & Refunds

30-Day First Box Guarantee

Your first purchase of Phoenix Recharge only is eligible.

Conditions:

  • Initiate within 30 days of delivery

  • Product must be at least 50% full

  • Return shipping is your responsibility

  • Refund applies to product price only

Phoenix reserves the right to deny refunds for abuse or non-compliant returns.

Not Eligible for Return

  • Digital products

  • Free samples or promotional items

  • Subsequent subscription shipments

  • Products purchased more than 30 days ago

  • Products purchased from unauthorized retailers

Defective or Incorrect Items

Contact support@phoenixgoods.com within 7 days with photos. We will provide a replacement or refund at our discretion.

 

 

7. Health & Safety Information

Phoenix products are dietary supplements, not medications.

  • Information on the Site is not medical advice

  • Statements have not been evaluated by the FDA

  • Products are not intended to diagnose, treat, cure, or prevent disease

Consult a healthcare professional before use.

Allergen Notice

Products are manufactured in facilities that process common allergens. Cross-contamination may occur.

 

 

8. Digital Products & Promotions

Digital products are delivered electronically and licensed for personal use only.
All digital sales are final and non-refundable once accessed.

Promo codes are non-transferable, have no cash value, and may be modified or revoked at any time.

 

 

9. Communications

You consent to receive transactional emails related to your account and orders.
Marketing emails and SMS messages are optional and may be opted out of at any time.

 

 

10. User Content & Intellectual Property

By submitting reviews or other content, you grant Phoenix a perpetual, royalty-free license to use that content.

All Site content, trademarks, formulations, and materials are the exclusive property of Phoenix Goods Co.

 

 

11. Prohibited Conduct

You agree not to:

  • Resell products commercially

  • Abuse promotions or returns

  • Use bots, scrapers, or unauthorized automation

  • Commit fraud or misrepresentation

  • Harass staff or other users

Fraudulent Chargebacks

You agree not to file fraudulent chargebacks.
If you dispute a charge with your card issuer without first contacting us, we may:

  • Terminate your account

  • Refuse future service

  • Pursue collection or legal remedies

 

 

12. Warranties & Disclaimers

Products and the Site are provided “AS IS” and “AS AVAILABLE.”
To the maximum extent permitted by law, we disclaim all warranties, express or implied.

 

 

13. Limitation of Liability

To the maximum extent permitted by law:

  • Phoenix is not liable for indirect, incidental, or consequential damages

  • Total liability shall not exceed the greater of $500 or the amount paid by you in the six months preceding the claim

 

 

14. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless Phoenix from claims, losses, and expenses arising from your use of the Site, violation of these Terms, User Content, or unauthorized resale of products.

 

 

15. Dispute Resolution & Arbitration

Most disputes must be resolved through binding individual arbitration administered by JAMS.

You may opt out of arbitration within 30 days of your first purchase by sending written notice to support@phoenixgoods.com or our mailing address.

Class actions and representative proceedings are waived.

 

 

16. Governing Law & General Terms

These Terms are governed by the laws of the State of Wyoming, excluding conflict-of-law principles and the CISG.

Statute of Limitations

You must bring any claim within 1 year of the claim arising, or the shortest period permitted by applicable law.

Force Majeure

We are not liable for delays due to events beyond our reasonable control.
